Toronto-based MinuteBox, a corporate record, minute book, and legal entity management platform, has purchased Conductor, a document generation platform for law firms and legal departments, from NetPleadings. The terms of the deal were not disclosed.

Conductor generates corporate records including by-laws, resolutions, and annual minutes using a law firm’s own pre-existing precedents. MinuteBox co-founder Daniel Levine said this service will add to his company’s current suite of offerings, which assists law firms, accounting firms and legal departments in Canada and the United States, offering online minute book and legal entity management software.

“With Conductor, we have built a state-of-the-art document generation and automation platform,” said Brian Hunt, founder of NetPleadings. “By integrating these features into the current MinuteBox platform, we are now able to offer customers the complete cloud-based end-to-end legal entity management solution they have been asking for.”
MinuteBox said the acquisition opens the door to opportunities in document generation and workflow management. The company also announced that it will appoint Hunt as its chief technology officer.

MinuteBox, founded by Levine, Steven Pulver, and Sean Bernstein, targets law firms that maintain corporate minute books for their clients, and usually store those minute books physically. This, Levine said, can be expensive, tedious, and time-consuming for firms. MinuteBox’s cloud-based corporate management tool allows law firms to generate minute book documents in seconds, aiming to reduce costs and human error. The company said existing Conductor users can continue to use the platform but will soon be migrated over to MinuteBox. The MinuteBox engineering team will now report directly to Hunt.
Alongside the acquisition, MinuteBox also announced a new suite of entity management tools to complement its existing online minute book management platform. MinuteBox’s new entity information database has been designed to store entity information for corporations, trusts, REITs (real estate investment trusts), not-for-profits, co-operatives, professional corporations, and many other entity types across hundreds of jurisdictions. It can also track and maintain over 50 different types of information including incorporation date, directors, share and unitholders, and land registrations.
In addition to the new entity management features, MinuteBox has announced a concierge migration program to assist customers in migrating from older, legacy, or on-premise platforms to its cloud platform.
